Terms of Service

These Terms of Service (“Terms”) govern your access to and use of TabFlow, a product of Bonaogeto Limited (“Company”, “we”, “our”, or “us”), operated at tabflow.mctaba.com. By accessing or using TabFlow, you agree to be bound by these Terms. If you do not agree, you may not use the platform.

TabFlow serves two categories of users: (1) Venue Operators — co-working spaces, corporate cafeterias, and hospitality businesses that sign up to offer digital dining tabs to their members; and (2) Members — individuals authorised by a Venue Operator to load and use a prepaid tab within that venue. These Terms apply to both categories.

1. The TabFlow Service

1.1 TabFlow provides a B2B SaaS platform that enables Venue Operators to offer members a prepaid digital dining tab system. Members load credit (“Tab Balance”) to a venue-specific account and use it to pay for food and beverage orders within that venue without handling cash or cards at the point of order.

1.2 TabFlow is a software platform only. We do not prepare, sell, or fulfil food or beverage orders. All food and beverage fulfilment is the sole responsibility of the Venue Operator and their staff.

1.3 TabFlow processes payments using Paystack’s payment infrastructure. Each Venue Operator is onboarded as a Paystack subaccount. When a Member loads their tab, a 1.5% platform service fee is charged on top of the requested amount. The Venue Operator receives 100% of the loaded credits via Paystack’s split payment feature.

1.4 Bonaogeto Limited does not hold, pool, or manage Venue Operator funds. Funds are held and settled by Paystack in accordance with Paystack’s settlement schedule and terms.

2. Venue Operator Accounts

2.1 To use TabFlow as a Venue Operator, you must complete our onboarding process, provide accurate business information, and enter into a Venue Operator Agreement with Bonaogeto Limited.

2.2 You must be a legally registered business entity operating in Kenya or another jurisdiction approved by Bonaogeto Limited. Sole traders and unregistered businesses are not eligible to onboard as Venue Operators without prior written approval.

2.3 You are responsible for the accuracy of all information you provide during onboarding and for keeping your account information up to date.

2.4 You are responsible for managing your members’ access to your TabFlow instance, including adding, suspending, and removing member accounts.

2.5 You agree not to share your admin credentials with unauthorised individuals and to notify us immediately at hello@mctaba.com if you suspect unauthorised access to your account.

3. Member Accounts

3.1 Members access TabFlow through their Venue Operator’s instance. Member accounts are created and managed by the Venue Operator.

3.2 Members may load credit to their Tab Balance using supported payment methods (M-Pesa, card, and others as made available). Tab Balances are prepaid, non-transferable, and specific to the venue for which they were loaded.

3.3 Members may not transfer their Tab Balance to another member or another venue. Tab Balances hold no cash value outside of the venue for which they were created.

3.4 Members agree to use the platform only for its intended purpose — paying for food and beverage orders within their co-working space or designated venue.

4. Payments and Fees

4.1 Tab loading payments are processed via Paystack. By loading your tab, you authorise Paystack to process the specified amount in accordance with Paystack’s terms of service.

4.2 Bonaogeto Limited charges a platform service fee of 1.5%, applied on top of the amount a Member loads onto their tab. This fee is collected automatically via Paystack’s split payment feature at the time of loading. Venue Operators receive 100% of the loaded credit amount. No separate invoice is issued for this fee.

4.3 Venue Operators are responsible for any applicable taxes arising from their use of TabFlow, including VAT where applicable.

4.4 All amounts displayed on the platform are in Kenyan Shillings (KES) unless otherwise stated.

5. Refunds and Cancellations

5.1 Refunds of unused Tab Balances are processed by the Venue Operator, not by Bonaogeto Limited. Members should contact their Venue Operator directly to request a refund of any unused balance.

5.2 Venue Operators may issue refunds to members within 30 days of the original tab loading transaction. Refund requests made after 30 days are at the Venue Operator’s sole discretion.

5.3 Bonaogeto Limited is not responsible for refunds relating to food and beverage orders — these are the sole responsibility of the Venue Operator.

5.4 For refunds or disputes relating specifically to TabFlow platform access, billing errors, or incorrect platform fee charges, contact us at hello@mctaba.com.

5.5 Bonaogeto Limited reserves the right to issue refunds of platform fees in cases of verified billing errors, at our sole discretion.

6. Acceptable Use

6.1 You agree to use TabFlow only for lawful purposes and in accordance with our Acceptable Use Policy.

6.2 You must not use TabFlow to process payments for goods or services other than food and beverages provided by the Venue Operator within their registered venue.

6.3 You must not attempt to circumvent, reverse-engineer, or interfere with any part of the TabFlow platform.

7. Intellectual Property

7.1 TabFlow and all associated software, branding, content, and materials are the intellectual property of Bonaogeto Limited. Nothing in these Terms grants you any rights to our intellectual property beyond the limited licence to use the platform as described herein.

7.2 You grant Bonaogeto Limited a non-exclusive licence to use your business name and logo for the purpose of operating and promoting TabFlow, including listing your venue as a TabFlow partner. You may withdraw this licence at any time by written notice to hello@mctaba.com.

8. Limitation of Liability

8.1 To the maximum extent permitted by Kenyan law, Bonaogeto Limited shall not be liable for any indirect, incidental, special, or consequential damages arising from your use of TabFlow, including but not limited to loss of revenue, loss of data, or loss of business.

8.2 Our total liability to you for any claim arising from your use of TabFlow shall not exceed the total platform fees paid by you to Bonaogeto Limited in the three months preceding the claim.

8.3 Bonaogeto Limited is not liable for any failures, delays, or errors in payment processing attributable to Paystack or any other third-party payment provider.

9. Termination

9.1 Either party may terminate a Venue Operator account by providing 30 days’ written notice to the other party.

9.2 Bonaogeto Limited may suspend or terminate your account immediately and without notice if we determine, in our sole discretion, that you have violated these Terms, our Acceptable Use Policy, or applicable law.

9.3 Upon termination, any outstanding Tab Balances held in your Paystack subaccount remain subject to Paystack’s terms regarding fund withdrawal and settlement.

10. Governing Law and Disputes

10.1 These Terms are governed by and construed in accordance with the laws of the Republic of Kenya.

10.2 Any disputes arising from these Terms or your use of TabFlow shall be subject to the exclusive jurisdiction of the courts of Nairobi, Kenya.

10.3 Before initiating formal legal proceedings, both parties agree to attempt resolution through good-faith negotiation for a minimum of 30 days.

11. Changes to These Terms

Bonaogeto Limited reserves the right to update these Terms at any time. We will notify Venue Operators of material changes via email at least 14 days before the changes take effect. Continued use of the platform after the effective date of updated Terms constitutes acceptance of those Terms.
